    Terms of Service — The Vocal Market

    1. Acceptance of Terms

    By accessing or using The Vocal Market (“Website”, “Platform”), you agree to comply with and be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not use the Website. These Terms constitute a legally binding agreement between you and The Vocal Market.

    2. Description of Service

    The Vocal Market is an online platform that enables:

    • Vocalists to upload, showcase, and sell vocal recordings; and

    • Producers to purchase and use those vocals under one of the license types offered on the Platform.

    The available license types are:

    1. Non-Exclusive Vocal License

    2. Exclusive Vocal License

    3. Cover Vocal License

    Each purchase of a vocal on The Vocal Market is governed by one of the above license types as specified on the product page and confirmed at checkout.

    3. Ownership and License

    3.1 Vocalist Rights

    Vocalists retain full ownership of their uploaded vocal recordings and all underlying neighbouring and moral rights, except as expressly licensed to producers under the applicable license type. Vocalists warrant that they own or control all necessary rights to offer such vocals for sale on The Vocal Market.

    3.2 Non-Exclusive Vocal License

    Under a Non-Exclusive License, producers (licensees) are granted a non-exclusive, worldwide, royalty-free, and non-transferable right to incorporate the purchased vocal performance into new musical works.

    This license permits commercial and non-commercial distribution of the resulting recordings (including streaming, downloads, physical releases, radio, and synchronization), provided the vocal is not redistributed or sold in isolation.

    Vocalists may continue selling the same vocal to other producers.

    3.3 Exclusive Vocal License

    Under an Exclusive License, producers are granted an exclusive, worldwide, royalty-free, and non-transferable right to use the purchased vocal performance in new works.

    After such a license is sold, the same vocal performance will not be licensed to any other producer.

    This license does not transfer ownership of the recording; the vocalist retains moral and neighbouring rights. Producers may not claim authorship, resell, sublicense, or register the unaltered vocal as their own with any copyright office, Content ID system, or performance rights organization.

    3.4 Cover Vocal License

    Under a Cover License, producers are granted a non-exclusive, worldwide, royalty-free, and non-transferable right to incorporate the specified cover vocal performance into new compositions, provided that all necessary third-party rights (composition, mechanical, sync, etc.) are obtained by the producer.

    No rights are granted to the underlying composition, lyrics, or melody of the original work being covered.

    3.5 General Restrictions

    For all license types:

    • Producers may not resell, sublicense, or distribute the isolated vocal stems or acapellas.

    • Producers may not use the vocalist’s name, image, or likeness without prior written consent from both The Vocal Market and the vocalist.

    • The unaltered vocal may not be registered in any copyright, Content ID, or fingerprinting system.

    • Producers assume full responsibility for legal compliance regarding third-party rights.

    4. Payments and Revenue

    Vocalists receive 70% of the net revenue from sales of their vocals through The Vocal Market. The remaining 30% covers platform and transaction costs. Payments are processed according to The Vocal Market’s payout schedule.

    5. Prohibited Uses

    Users (both producers and vocalists) must not:

    • Violate applicable laws or infringe intellectual property rights;

    • Circumvent or manipulate the Platform’s payment systems;

    • Use the Platform to upload or distribute unlawful, defamatory, or infringing material;

    • Engage in any activity that competes with The Vocal Market or redistributes its content.

    6. Termination and License Revocation

    The Vocal Market may suspend or terminate user accounts, remove content, or revoke issued licenses if:

    • The user violates these Terms or applicable laws;

    • Fraudulent, misleading, or infringing activity is detected; or

    • Continued use poses legal or reputational risk to The Vocal Market.

    If a license is revoked due to breach, the producer must immediately cease using the affected vocal in new works.

    7. Indemnification

    Users agree to indemnify and hold harmless The Vocal Market, its affiliates, officers, employees, and licensors from all claims, damages, or losses arising from their use of the Platform or violation of these Terms, including but not limited to third-party intellectual property claims.

    8. Disclaimer of Warranties

    The Platform and all content are provided “as is” and “as available” without warranties of any kind. The Vocal Market does not guarantee uninterrupted access, error-free operation, or suitability for a particular purpose. The Platform is not responsible for any disputes between producers and vocalists or for any unauthorized reuse of vocals by third parties.

    9. Limitation of Liability

    To the maximum extent permitted by law, The Vocal Market shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, goodwill, or data, arising from use of the Platform or licensed vocals.

    10. Modifications

    The Vocal Market reserves the right to modify these Terms at any time by posting an updated version on the Website. Continued use of the Platform after publication of revised Terms constitutes acceptance of those changes.

    11. Governing Law and Jurisdiction

    These Terms are governed by the laws of The Netherlands. Any disputes shall be resolved exclusively before the competent courts in The Netherlands.
